Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and JOYELY®, LLC ("JOYELY," "we," "us," or "our"), governing your access to and use of joyely.com, all related subdomains, and any products, programs, courses, events, or services offered by JOYELY (collectively, the "Services").

By creating an account, making a purchase, registering for an event, or simply browsing our website, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

Our Services

JOYELY® offers a science-backed suite of emotional intelligence tools, programs, and experiences anchored in the JOY Intelligence™ Framework. Our Services include, but are not limited to:

• The JOY Navigator™ — an emotional awareness and regulation program
• JQ Emotions Map — a visual mapping tool for emotional states
• Chair of JOY™ — a guided somatic and emotional regulation practice
• JQ Live and JQ Voices — live and virtual events and speaker experiences
• JOYELY® merchandise and digital products via our online store
• One-on-one coaching sessions, including consultations via Book a Call
• The ERBT Norooz Clinic and foundation programs

We reserve the right to modify, suspend, or discontinue any part of our Services at any time without prior notice. JOYELY shall not be liable to you or any third party for any modification, suspension, or discontinuation of Services.

Section 03

Eligibility

To access and use our Services, you must:

1. Be at least 18 years of age, or the age of majority in your jurisdiction, whichever is greater
2. Have the legal capacity to enter into binding contracts
3. Not be prohibited from receiving our Services under applicable law
4. Provide accurate, current, and complete registration information where required

By using our Services, you represent and warrant that you meet all of the above eligibility requirements. Minors are strictly prohibited from using our Services without express parental or guardian consent. JOYELY reserves the right to refuse service to anyone for any reason at any time.

Section 04

Accounts & Registration

Certain features of our Services may require you to create an account. When registering, you agree to:

• Provide truthful, accurate, and complete information
• Keep your account credentials confidential
• Notify us immediately of any unauthorized access or security breach
• Accept responsibility for all activities occurring under your account

JOYELY reserves the right to terminate accounts, remove or edit content, and cancel orders at our sole discretion. You may not transfer or assign your account to any other person or entity without our express written consent.

Intellectual Property

All content on joyely.com and within our Services — including but not limited to text, graphics, logos, images, video, audio, curriculum materials, program content, the JOY Intelligence™ Framework, Chair of JOY®, JQ Emotions Map, and software — is the exclusive intellectual property of JOYELY®, LLC and is protected by United States and international copyright, trademark, and intellectual property laws.

JOY Intelligence™ and Chair of JOY® are registered trademarks of JOYELY®, LLC. Unauthorized use of our trademarks, trade names, or service marks is strictly prohibited.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for personal, non-commercial purposes. This license does not include the right to:

• Reproduce, modify, distribute, or publicly display our content without written consent
• Create derivative works based on our proprietary materials
• Use our trademarks, logos, or brand elements without prior approval
• Reverse-engineer, scrape, or extract data from our platforms

User Conduct

When using our Services, you agree not to engage in any conduct that:

• Violates any applicable local, state, national, or international law or regulation
• Is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• Infringes on the intellectual property, privacy, or other rights of JOYELY or any third party
• Introduces viruses, malware, or any other harmful computer code
• Attempts to gain unauthorized access to any portion of our systems or Services
• Interferes with or disrupts the integrity or performance of the Services
• Impersonates JOYELY, our staff, or any other person or entity
• Collects or stores personal data about other users without their consent

JOYELY reserves the right to investigate and take appropriate legal action against anyone who, at our sole discretion, violates this provision.

Section 07

Payments & Fees

Certain Services require payment. By purchasing any paid Service, you agree to the following:

• All prices are listed in US Dollars (USD) unless otherwise stated
• You authorize us to charge your selected payment method for the applicable fees
• Prices are subject to change without notice; changes will not affect existing confirmed orders
• You are responsible for any applicable taxes, duties, or fees associated with your purchase

Refund Policy: Refunds are handled on a case-by-case basis at JOYELY's sole discretion. Digital products, completed coaching sessions, and event tickets are generally non-refundable once accessed or attended. If you believe you are entitled to a refund, please contact us within 7 days of your purchase at the contact details in Section 14.

Disclaimers

JOYELY's programs, content, and Services are provided for educational and personal development purposes only. They are not a substitute for professional medical, psychological, psychiatric, or therapeutic advice, diagnosis, or treatment.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

JOYELY does not warrant that the Services will be uninterrupted, error-free, or free of viruses or other harmful components. We make no guarantees regarding specific outcomes, results, or benefits from participation in our programs.

Section 09

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, JOYELY®, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL — ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SERVICES.

In jurisdictions that do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation may not apply to you. In such cases, JOYELY's total liability shall not exceed the amount you paid to JOYELY in the three (3) months preceding the claim.

Privacy

Your privacy is important to us. Our Privacy Policy describes how we collect, use, and protect the personal information you provide when using our Services. By using our Services, you consent to the data practices described in our Privacy Policy.

We do not sell your personal data to third parties. Any data shared with partners or service providers is done so solely to deliver and improve our Services, subject to appropriate data protection agreements.

Section 11

Termination

JOYELY reserves the right, in its sole discretion, to terminate or suspend your access to the Services at any time, with or without cause, and with or without notice. Causes for termination may include, but are not limited to, violation of these Terms, fraudulent or illegal activity, or behavior that is harmful to other users, our staff, or the JOYELY brand.

Upon termination, your right to access the Services will immediately cease. Any provisions of these Terms that by their nature should survive termination — including intellectual property provisions, disclaimers, and limitations of liability — shall remain in full effect.

Section 12

Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Any disputes arising from or related to these Terms or the Services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association (AAA), with arbitration conducted in California.

Changes to These Terms

JOYELY reserves the right to modify these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of this page and, where appropriate, notify registered users via email or a prominent notice on our website.

Your continued use of the Services following the posting of any changes constitutes your acceptance of those changes. We encourage you to review these Terms periodically. If you do not agree to any modified Terms, you must discontinue use of the Services.
